Company Secretary
About the Role
We are looking for a Company Secretary or experienced CS professional to manage corporate secretarial work and coordinate a wider compliance calendar across multiple companies and LLPs. The role combines hands-on MCA work, governance records, transactions, incorporations, documentation, follow-up and management reporting.
Responsibilities
- Manage annual and event-based compliance for companies and LLPs under applicable corporate laws.
- Prepare and file ROC/MCA forms and returns and maintain complete filing evidence, challans, SRNs and acknowledgements.
- Plan Board, committee, shareholder and partner meetings and prepare notices, agendas, resolutions and minutes.
- Maintain statutory registers and corporate records and ensure approved actions are carried through.
- Handle incorporations, conversions, changes in directors or partners, registered-office changes, share allotments and transfers, capital changes, charges, strike-off and other corporate transactions.
- Manage DIN, DSC, KYC and related portal requirements.
- Maintain and update the organisation's compliance tracker and calendar across corporate, tax, labour, licence and other recurring obligations.
- Coordinate with internal teams and external CA, CS, legal and other consultants to collect documents and complete pending actions on time.
- Follow up until every compliance item is supported by proof of filing or another clear closure record.
- Maintain organised records of filings, licences, approvals, notices and supporting documents.
- Prepare periodic compliance reports and proactively flag delays, missing documents, resubmissions, notices and risks.
- Support audits, inspections, due diligence and responses to regulatory or departmental queries.
- Maintain and improve checklists, trackers and process documentation for recurring compliance work.
Requirements
- Strong practical knowledge of company and LLP secretarial compliance and MCA V3.
- Hands-on experience drafting resolutions, minutes, notices, registers and filing documents.
- High attention to detail, deadline discipline and persistent follow-up.
- Ability to manage several entities, filings and transactions simultaneously.
- Clear written communication and responsible handling of confidential records.
- Good working knowledge of Excel or Google Sheets and document-management tools.
Nice to Haves
- ICSI membership and post-qualification experience.
- CS Professional Programme passed, or CS Executive Programme passed with substantial practical experience.
- Experience in a practising CS firm and exposure to varied clients and transactions.
- Startup or early-stage company experience, including incorporations, cap-table changes, fundraising or restructuring support.
- Experience coordinating non-secretarial compliances with CA, legal, HR and operations teams.
- Comfort using AI tools for drafting, research, checklists and first-pass document review, with independent legal verification.
Qualifications
- ICSI member preferred. Candidates who have passed the Professional or Executive Programme and have strong relevant experience may also apply.
- Practical experience and breadth of work will be assessed separately from examination stage.

- ₹1,80,000 – ₹3,00,000 per annum
